The iF3 Movie Awards are a unique event with a gala held in Montreal, Canada. Our international jury panel reviews all the movies prior to the Festival in order for the awards to be announced and given at the Festival in Montreal.

Please read the following regulations:

 

DISTRIBUTION AGREEMENT (hereinafter “Agreement”) BETWEEN: . iF3 FESTIVAL INC, (hereinafter the “iF3″) -AND- YOU, Producer submitting to iF3 (hereinafter -after the “Producer”) (collectively, we will be called the “Parties”). As you know, iF3 is a company that organizes ski and snowboard film festivals and other related events. We are pleased that you, the producer, have created a ski and/or a snowboard film (the “Film”) that we both want to present in the 2017 edition of iF3 Festival in Montreal (hereinafter the “Festival”) By accepting the terms and conditions of this Agreement, you, the producer, acknowledge that you are duly authorized and has the ability to consenter to this Agreement.

Now let’s take a look at these terms.

I. RIGHT PROJECTION When the producer submits the film iF3, he / she iF3 grants an exclusive right to project the Film during the 2017 Festival, which will take place between October 26th and 29th in Montreal, Quebec, Canada . The terms are as follows: (i) iF3 have the right to present the Film Producer a maximum of two (2) times during the festival in a theater containing a thousand (1,000) seats or less; (ii) determine the date iF3 , time and place of each producer of the film screenings during the Festival;

II. OBLIGATIONS OF THE PRODUCER examine the obligations and responsibilities of the producer. Be careful, because it is important that you follow those terms. • The producer must provide a copy of the final movie to iF3 later than September 27th, 2017; • The Producer allow iF3 a unique presentation of the Film Festival before members the press only. The press screening is by invitation, and the presentation will be used to promote the Festival and the Film; • The Producer allow iF3 to present the Film Festival before its jury. This screening will take place in a private place and allow the jury to determine the finalists and winners of iF3 Movie Awards 2017. iF3 will ensure that no film is extracted publicly disclosed by one of the jury • The Producer gives iF3 permission to use short excerpts from the film (blocks of 15 seconds each) to accompany the Movie Awards Nominations iF3 the Film, the Producer or his athletes can receive. Please note that such short extracts will be viewed in person by the hearing of iF3 Movie Awards and by viewers who watch the live broadcast of iF3 Movie Awards show on the Internet. • The Producer also give permission to iF3 to include in his trailer snippets of the trailer of the movie. Please, contact iF3 when your trailer will be online so we can take a look!

III. ADDITIONAL PRESENTATIONS • Producer agrees to give iF3 the right to organize additional screenings Film in the province of Quebec and across the world for all iF3 event. The dates and locations will be mutually agreed. In return, for each additional projection iF3 pay the producer an amount to be negotiated on a fair basis; • This right to organize additional screenings Film expires September 1, 2018.

IV. ISSUE By accepting the terms of the agreement, the Producer certifies that he is the sole owner of the Film, and has obtained all the necessary permits and license fees in cinemas.

V.THIRD PARTY RIGHTS & PERMISSIONS The Film must be the original work of Producer and must not violate the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity. If the movie contains any material or elements that are not owned by the producer or which are subject to rights of third parties, the Producer is responsible for obtaining, prior to listing of Movie, all consents necessary for allow the diffusion of Film by iF3. iF3 reserves the discretionary right to verify that all necessary approvals have been obtained. iF3 also reserves the right in its sole and absolute discretion, to disqualify and remove the movie if it is found that potentially or actually it violates the copyright of third parties.

VI. LIMITATION OF LIABILITY In submitting the Film Festival, the Producer agrees not to sue iF3 or one of its affiliates, subsidiaries, agents, representatives, independent contractors, officers, directors and employees from claims, liabilities, costs, damages and expenses of any kind arising from or related to participation in the Festival Producer.

VII. INDEMNIFICATION The Producer agrees to defend and indemnify iF3 and its directors, officers, employees, affiliates, partners and agents against all claims, losses, legal liability, claims, including attorneys’ fees and experts and the amounts of the judgments (collectively “Losses”) arising from or due to the breach or alleged breach by the Producer of any of the terms, warranties or representations of this Agreement. However, the producer does not protect against its iF3 losses to the extent that they are caused by breach of iF3 of its obligations under this Agreement. This provision shall survive the termination or expiration of this Agreement.

VIII. ASSIGNMENT OF LAW Under this Agreement, iF3 have the right to assign or share the rights and obligations to any company in the same group and / or any person related to the Festival. If iF3 assign its rights and obligations, the transferee must comply the same terms and conditions.

IX. NO WITHDRAWAL The Producer agrees not to remove the Film Festival once he agrees to the terms of this Agreement. X. Force Majeure Any delay or failure in performance of their obligations by either party under this Agreement will be excused to the extent that the delay or failure is caused by the occurrence of an event of Force Majeure . Force Majeure refers to an event that may be reasonably anticipated by the party fails to meet its obligations. In other words, acts of God, fires, floods, explosions, riots, wars, hurricane, sabotage, terrorism, vandalism, accidents, governmental acts, injunctions, strikes and other events that are beyond the reasonable anticipation and control of Parties, in spite of reasonable efforts to prevent, avoid, delay or mitigate the effect of these actions, events or facts.

XI. LAW AND JURISDICTION Any litigation or dispute relating to this Agreement shall be governed by the laws applicable in the province of Quebec. Any dispute between the Parties concerning the application or interpretation of this Agreement will be subject to the relevant courts in the province of Quebec, district of Montreal.
